These Terms and Conditions of Use ("Terms") govern access to and use of the platform operated by ERNEST, a company registered with the Registre du Commerce et des Sociétés de Paris under number 925 034 019, registered office at 4 Rue Antoine Dubois, 75006 Paris, France ("Ernest," "we," "us"), available at https://www.ernest-app.com and kithe.club (together, the "Platform"). By creating an account or otherwise using the Platform, you agree to these Terms.

1. What Ernest is

Ernest is a marketplace connecting brands with communities ("tribes") for community-marketing partnerships — event sponsorships, product seeding, ambassador programs, and similar activations. The Platform has two connected experiences: a brand-facing space (ernest-app.com) for discovering and managing community partnerships, and a community-facing space (kithe.club) for communities to create a profile, get verified, and manage collaboration requests.

2. Eligibility and accounts

• You must be at least 18 years old to create an account or use the Platform.
• You must be authorized to act on behalf of the brand or community you represent.
• You're responsible for the accuracy of the information you submit, including brand profiles, community profiles, and activation details.
• You're responsible for keeping your login credentials confidential and for all activity under your account.
• Brand accounts may invite team members; the inviting brand is responsible for managing those seats and revoking access when appropriate.

3. Community submissions and verification

Community listings submitted through kithe.club go through a review process before becoming visible to brands. We may request additional information to verify a submission, reject listings that don't meet our guidelines, or remove listings that are inaccurate, fraudulent, or violate these Terms. Submitting a community profile does not guarantee it will be published or matched with brands.

4. Acceptable use

You agree not to:

• Submit false, misleading, or infringing information about a brand or community
• Use the Platform to collect personal data about other users beyond what's needed for a legitimate collaboration
• Circumvent, disable, or interfere with security features of the Platform
• Use the Platform's AI features (Ask Ernest, Brief Search, Profile Search, and similar) to attempt to extract data you're not authorized to access, or to generate content for purposes unrelated to evaluating a brand-community fit
• Use automated means (scraping, bots) to access the Platform outside of what we explicitly provide
